Terms of Service

These Terms of Service constitute an agreement ("Terms") between you and Getsu Corporation Ltd., its affiliate Getsu Division Ltd. (the "Getsu," "we," "us," and "our").
Terms apply to the use of all services provided by Getsu, including games, stores, sites, and related services (the "Service").
Please review our Privacy Policy, which also governs your use of the Service, for information on how we collect, use, and share your data.

1. Agreement to Terms

1.1 You agree to these Terms by downloading, installing, accessing or using any part of the Service. If you do not agree to these Terms, you may not access or use the Service.1.2 By creating an Account or using the Service, you acknowledge that you are of legal age in your country of residence. If you are not of legal age, it is necessary for your legal guardian to review and consent to these Terms of Service.

2. License

2.1 Getsu grants you a limited license to access and use the Service for your personal and non-commercial entertainment purposes.2.2 This license is non-exclusive, non-transferable, non-sublicensable, and revocable. You agree to use the Service solely for the intended purpose and not for any other purposes.2.3 You shall not sell, rent, or transfer access to the Service.2.4 If you have been previously removed or banned by Getsu from using any part of the Service, you are not permitted to use the Service.

3. License Limitations

3.1 You agree not to:

3.1.1 Engage in activities that Getsu considers contrary to the intended purpose of the Service or misuse Getsu's support services;3.1.2 Use the Service to advertise, solicit, and transmit any commercial advertisements, including chain letters, junk, or spam e-mail, or repetitive or misleading messages to anyone;3.1.3 Use cheats, exploits, automation software, emulators, bots, hacks, mods, or any unauthorized third-party software that modifies or disrupts the Service;3.1.4 Modify or attempt to modify Service files without written consent from Getsu;3.1.5 Disrupt or adversely affect the normal flow of the Service, or engage in actions that harm other users' experience, such as win trading, ranking manipulation, or exploiting bugs for an unfair advantage;3.1.6 Disrupt or overload the computers or servers supporting the Service or any Getsu game;3.1.7 Initiate or participate in attacks on the Service or interfere with other users' use and enjoyment of the Service, including distributing viruses or conducting denial of service attacks;3.1.8 Attempt to gain unauthorized access to the Service, other users' accounts, or the Service's computers, servers, or networks, by bypassing or modifying security measures or technology;3.1.9 Reverse engineer, decompile, disassemble, decipher, or attempt to extract source code or obtain unauthorized information from the Service;3.1.10 Post abusive, threatening, obscene, defamatory, or offensive information, engage in persistent harassment, or share content containing nudity, excessive violence, or offensive material;3.1.11 Harass, abuse, harm, or advocate for such behavior towards any person or group, including Getsu employees and customer service representatives;3.1.12 Share material or information through the Service that infringes upon copyrights, trademarks, patents, trade secrets, privacy rights, publicity rights, or impersonates others;3.1.13 Collect or post anyone's private information, personally identifiable information, or financial data, using the Service;3.1.14 Use the Service in violation of export controls, anti-money laundering rules, economic sanctions, or similar laws and regulations imposed by the United States of America or the European Union..

3.2 Getsu may determine what conduct it deems to be in violation of the Terms. Getsu may take appropriate action, which may include terminating your Account and prohibiting you from using all or part of the Service

4. Your Account and Login Information

4.1 In some cases, you may need to create a user account and choose a username for the Service. This account can be either game Account or Getsu IDs.4.2 You shall not purchase, sell, rent or give away your Account.4.3 You may not create an Account using a false identity or information, or on behalf of someone other than yourself.4.4 Unless you use a Getsu ID, the Service supports only one Account per game on a supported device.4.5 Getsu has the right to remove or reclaim usernames at any time and for any reason, including if a third party claims that a username violates their rights.4.6 You may choose a password for your Account, or to use other credentials to access your Account ("Login Information").4.7 You are responsible for all usage, including purchases, made using your Login Information, whether authorized by you or not. You are also responsible for all activities that occur under your Account.

5. Purchase and Fees

Purchases

5.1 In the Service, you can choose to purchase Virtual Items using real-world money. These Virtual Items include virtual currency (such as cash or diamonds) for use in Getsu games, virtual in-game items, content, features. You can obtain Virtual Items through the Service from us or our authorized partners; you cannot use other methods.5.2 When you buy Virtual Items, Service starts immediately upon our acceptance of your purchase. In some cases, we may begin delivering the purchased content before the expiration of any statutory withdrawal period defined by applicable laws. By making the purchase, you expressly agree to this arrangement.5.3 You cannot sell, buy, redeem, or transfer Virtual Items to any person, entity, or third party, except as explicitly permitted by Getsu.5.4 All purchases and redemptions of Virtual Items made through the Service are final and non-refundable, except where required by applicable law.5.5 Getsu reserves the right to manage, regulate, control, modify, or eliminate Virtual Items at any time, with or without notice. Please be aware that Getsu has no liability to you or any third party for exercising these rights, to the fullest extent allowed by applicable law.

Fees

5.6 You are responsible for paying all fees and applicable taxes associated with your Account.5.7 Getsu has the right to change the prices for goods and services offered through the Service at any time.5.8 Getsu may include links to other websites or third-party services, some of which may have separate fees that are not included in the fees you pay to Getsu. Any charges or obligations you incur while dealing with third parties are your responsibility.5.9 Getsu does not have an obligation to issue refunds for any reason. We will not provide any monetary or compensatory value for unused virtual items if your account is closed, regardless of whether the closure was voluntary or involuntary.

6. Ownership

Service

6.1 Getsu owns all rights, title, and interest in the Service, including but not limited to games, computer code, themes, objects, characters, character names, stories, dialogue, catch phrases, concepts, artwork, animations, sounds, musical compositions, audio-visual effects, methods of operation, moral rights, documentation, in-game chat transcripts, character profile information, recordings of games played using a Getsu game client, and the Getsu game clients and server software.

Account

6.2 You have no ownership or other property interest in the account. All rights in and to the account are and shall forever be owned by and benefit Getsu.

Virtual Content

6.3 Getsu owns, has licensed, or otherwise has rights to use all of the content that appears in the Service. You have no right or title in or to any content that appearing on the Service, including without limitation the virtual items, content, features, goods, services or currency appearing in or originating in any Getsu game, whether earned in a game or purchased from Getsu, or any other attributes associated with an Account or stored on the Service.

7. User Content

License

7.1 "User Content" refers to any communications, images, sounds, and all the material, data, and information that you upload or transmit through the Service. This includes any chat text that is shared.7.2 You grant Getsu an irrevocable, perpetual, transferable, fully paid-up, royalty-free, worldwide license to copy, reproduce, adapt, modify, create derivative works from, manufacture, commercialize, publish, distribute, sell, license, sublicense, transfer, lease, transmit, publicly display, electronically provide access to, broadcast, communicate to the public by telecommunication, perform, enter into computer memory, and use and practice your User Content in connection with the provision of the Service, including marketing and promotions. You authorize Getsu to grant these rights to others.

Forums

7.3 The Service may have forums, blogs, and chat features, where you can post User Content and share your observations and comments on specific topics (“Forums”).7.4 Getsu is not obligated to evaluate, use, or compensate you for any ideas or information you submit. If you choose to disclose or rely on any information in the forums, you do so at your own risk.7.5 Getsu has the right to monitor the Forums and edit or remove any materials posted by users as necessary. Getsu may also disclose such materials to third parties if required by law or governmental request, or to ensure the proper operation of the Service.7.6 Getsu does not endorse or take responsibility for any messages or statements, including any opinions, advice, information, or expressions made by you or other users in the Forums.7.7 Getsu is not liable for any errors, omissions, or any results obtained from the use of information or materials in the Forums.7.8 Getsu will not be held responsible for any loss or damage resulting from your reliance on information or materials in the Forums or your use of the Forums.

Responsibility for User Content

7.9 You hold full responsibility for the information you post in connection with the Service, as well as any information you provide to others. Getsu has the right to reject, refuse to post, or delete any User Content at its sole discretion, for any reason, including User Content that violates these Terms of Service.

User Interactions

7.10 You are solely responsible for your interactions with other users of the Service and any other parties with whom you interact through the Service.

8. Updates to the Service

8.1 Service are in a constant state of evolution. This means that we may release early test versions of the Service, which may have limited functionality, undergo significant changes, or be discontinued altogether during or after the testing phase.8.2 Even beyond the initial testing period, we may modify, update, or enhance our Service.8.3 Getsu has the right to update the Service and Getsu games, with or without prior notification.8.4 When we introduce changes to the Service, you may be required to accept or install updates, upgrades, or other modifications in order to continue using the Service.

9. Suspension and Termination of Account and Service

9.1 Getsu reserves the right to take actions such as limiting, suspending, terminating, modifying, or deleting accounts or access to the Service, with or without notice, under certain circumstances. These circumstances include: (i) failure to comply with the Terms of Service, as determined by Getsu, and (ii) illegal or improper use of the Service.9.2 In the event of account termination or limitation, you may lose your username, any benefits, privileges, earned virtual items, and purchased virtual items associated with your use of the Service. Getsu is not obligated to compensate you for any losses or results arising from such actions.9.3 Getsu also has the right to terminate any account that has been inactive for 180 days.9.4 Account termination may involve disabling your access to the Service or any part of it, including any content you or others have submitted.9.5 If you wish to terminate your Account, you have the option to do so at any time and for any reason by sending an email to [email protected] to inform Getsu of your decision.9.6 Getsu may discontinue offering or supporting the Service, a specific game, or a part of the Service at any time. In such cases, your right to use the Service or that specific part will be automatically terminated. Getsu is not required to provide refunds, benefits, or other compensation to users in relation to the discontinuation of the Service.9.7 If we decide to discontinue a part of the Services for which Virtual Items have been made available, we will make commercially reasonable efforts to provide advance notice to the extent possible.

10. Disclaimers

10.1 The Service is provided on an "as is" and "as available" basis. Getsu does not provide any warranties, either express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, title, non-infringement, and those arising from course of dealing or usage of trade.10.2 Getsu does not guarantee that you will be able to access or use the Service at your preferred times or locations, that the Service will be uninterrupted or error-free, that any defects will be corrected, or that the Service or the game is free from viruses or other harmful components.

11. Limitation of Liability

11.1 Getsu will not be liable to you for any indirect, incidental, consequential, special, punitive, or similar damages, including but not limited to loss of revenues, lost profits, lost data, business interruption, or other intangible losses. These damages may arise out of or be related in any way to these Terms or the Service itself, whether based on contract, tort, and whether or not Getsu has been advised of the possibility of such damages.11.2 In all cases, Getsu's liability to you will not exceed the amount you have paid to Getsu in accordance with these Terms of Service during the 6 months immediately preceding the date you first assert a claim. You acknowledge and agree that if you have not made any payments to Getsu during this period, Getsu's exclusive liability for any dispute is to discontinue using the Service and cancel your account.11.3 Certain jurisdictions may not permit the limitation or exclusion of liability for certain types of damages. Some of the disclaimers and limitations stated in these Terms of Service may not apply to you.11.4 These Terms do not affect your legal rights as a consumer, nor do they exclude or limit any liability for death or personal injury arising from any negligence of Getsu, fraud or fraudulent misrepresentation, or any other liability that cannot be legally excluded or limited by law.

12. Indemnification

12.1 You agree to indemnify, defend, and hold Getsu harmless from any claims, demands, damages, or other losses, including reasonable attorneys' fees, made by any third party arising out of or resulting from:

12.1.1 your use of the Service; or12.1.2 any violation by you of these Terms, unless such infringement of rights is not caused by your intentional or negligent actions.

13. Applicable Law and Jurisdiction

13.1 Any dispute relating to these Terms or the Service shall be governed:

13.1.1 If you reside in the United States or Canada
Governing Law: the laws of the State of California, USA, without considering conflict of law provisions.
Jurisdiction: San Francisco, California.
13.1.2 If you reside outside of the United States and Canada
Governing law: the laws of England and Wales without considering conflict of law provisions.
Jurisdiction: English courts.

14. Dispute Resolution

14.1 The dispute resolution processes will be applicable to any disputes or claims arising from these Terms of Service, the Privacy Policy, or the Service.14.2 Sections 14.3 to 14.8 apply to residents of the United States or Canada.14.3 Informal Dispute Resolution
Before initiating arbitration, you must attempt to resolve any dispute with Getsu informally for a minimum of 30 days. The informal dispute resolution process begins when you provide written notice of the dispute to Getsu via [email protected].
14.4 Arbitration Agreement
You and Getsu agree to exclusively resolve any disputes through final and binding arbitration. If either party initiates a claim in court that falls under arbitration, the court may be requested to order arbitration. The arbitrator has the sole authority to determine the validity, enforceability, and applicability of Section 14 ("Dispute Resolution") to a claim. Arbitration replaces a trial before a judge or jury, and the arbitrator's decision is final and can be enforced as a court judgment. Changes to the arbitration outcome through courts are generally limited.
14.5 Arbitration Process
The American Arbitration Association (AAA) will oversee the arbitration process. In case of any conflict between these Terms of Service and AAA's rules, these Terms of Service will prevail. The arbitration fees will be determined by AAA's Consumer Arbitration Rules, with Getsu responsible for excessive fees if so determined. Each party bears its own attorneys' fees and costs, except when prevailing party rights allow for recovery. The arbitration will take place in San Francisco, California, USA, or the county/province of your residence.
14.6 Exceptions to Agreement to Arbitrate
The arbitration agreement in Section 14.4 does not apply to the following disputes:
- - Claims concerning Getsu's intellectual property rights;
- - Claims related to piracy or tortious interference;
- - Claims exempt from arbitration as a matter of law and not preempted by federal law;
- - Claims in small claims court.
14.7 No Class Actions
You and Getsu agree that claims will be brought on an individual basis, prohibiting class, collective, consolidated, or representative actions. The arbitrator cannot combine multiple claims into a single case or oversee such proceedings. The arbitrator's decision only applies to your case and cannot be used to decide disputes of others.
14.8 Opt-Out of Arbitration Agreement and No Class Actions Provisions
You can opt out and not be bound by the Arbitration Agreement and No Class Actions provisions (Sections 14.4 to 14.7). To do so, send a written notice of your decision to [email protected] with the subject line "ARBITRATION AND CLASS ACTION WAIVER OPT-OUT." This notice must be sent within 30 days of your initial use of the Service or the availability of the opt-out, whichever is later.
14.9 Alternative and Online Dispute Resolution
If you are a consumer residing in the European Economic Area (EEA), you have the option to use the Online Dispute Resolution platform provided by the European Commission. This platform serves as an out-of-court alternative for resolving disputes.
Additionally, you have the right to pursue alternative dispute resolution by referring the dispute to the consumer disputes board or a similar out-of-court institution in your place of residence.

15. Force Majeure

15.1 Getsu will not be held responsible for any delays or failures in performance that are caused by circumstances beyond its reasonable control. These circumstances may include: acts of God, war, terrorism, riots, embargoes, actions of civil or military authorities, fires, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.15.2 In such cases, Getsu's obligations under these Terms of Service may be temporarily suspended without incurring liability. Getsu will make reasonable efforts to resume its performance as soon as the circumstances allow.

16. Severability

16.1In the event any provision of these Terms is found to be invalid or unenforceable, only that particular provision or part so found, and not the entire Terms, will be inoperative.

17. Assignment

17.1 Getsu has the right to assign or transfer these Terms of Service, either fully or partially, to any individual or entity, at any time, with or without your consent. However, you are not permitted to assign or transfer any rights or responsibilities under the Terms of Service without our prior written consent.

18. No Waiver

18.1 Getsu's failure to insist on strict performance of any provision in these Terms of Service, or failure to exercise any right provided by them, shall not be interpreted as a waiver or abandonment of Getsu's right to enforce such provision or right in the present or future instances.

19. Communications

19.1 You agree to receive communications from us through electronic means, such as email or by posting notices on the Service. These communications may include important information about your use of the Service, like transaction details, and they are an essential part of our relationship with you. By agreeing to this, you acknowledge that any notices, agreements, disclosures, or other communications we provide electronically fulfill any legal requirements for written communication.19.2 All notices that you are required to give or provide under these Terms must be in writing and addressed to: Getsu Corporation Ltd., with a copy sent to [email protected].

20. Changes

20.1 Getsu may change, modify, add, or remove portions of these Terms at any time by posting the modified terms on the Service.20.2Your ongoing use of the Service constitutes your acceptance of such changes. If you disagree with any part of the updated version of our Terms of Service, your right to use the Service will be immediately terminated, and you must promptly discontinue using the Service.
